Terms and Conditions

These Terms govern your access to Caruso Insights memberships, professional market research, mentorship, educational programs, communities, courses, events, digital products, and related services.

Monthly memberships

Renew monthly until cancelled. Cancelling stops future renewals but does not normally refund a completed billing period.

A yearly membership covers a 12-month period. You may turn off renewal and retain access through the current paid term.

Yearly early cancellation

An eligible yearly-membership refund deducts prorated usage, actual non-refundable payment-processing fees, and an adjustment equal to two months at the applicable service's monthly membership rate.

Guarantees

A money-back guarantee applies only when it is expressly included on the sales or checkout page for the applicable offer.

Agreement and definitions

These Terms and Conditions form a legally binding agreement between you and Caruso Insights Inc. regarding your purchase, access to, and use of the Services.

By visiting our Website, creating an account, submitting payment, beginning a trial, registering for an event, joining a membership, accessing member content, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not purchase, access, or use the Services.

Definitions

In these Terms:

  • “Caruso Insights,” “Company,” “we,” “our,” or “us” means Caruso Insights Inc. and, where applicable, its directors, officers, employees, contractors, instructors, and authorized contributors.
  • “Website” means the Caruso Insights website and related pages, domains, landing pages, and checkout pages.
  • “Services” includes PRO Mentorship, EDGE Research, memberships, courses, research, communities, webinars, live sessions, conferences, indicators, digital products, recordings, newsletters, and related services.
  • “Content” includes videos, audio, written research, charts, watchlists, market reviews, lessons, indicators, templates, presentations, community posts, recordings, and other materials made available through the Services.
  • “Member” means a person with authorized access to a paid or free Caruso Insights account or Service.

Offer-specific terms: Details displayed on an applicable sales page, registration page, order form, or checkout page form part of your agreement. More specific or more favourable written offer terms will apply to that purchase.

Eligibility and account security

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or independently use the Services.

By creating an account or purchasing a Service, you represent that:

  • The information you provide is accurate, current, and complete.
  • You are authorized to use the payment method submitted.
  • You are not prohibited by applicable law from receiving the Services.
  • You will use the Services only for lawful, personal, and educational purposes.

Your account

Your account and login credentials are personal to you. You must not sell, transfer, lend, sublicense, or share your account or password with another person.

You are responsible for maintaining a secure password and for activity conducted through your account. You must promptly notify Caruso Insights if you suspect unauthorized access, account sharing, fraud, or another security issue.

We may request identity, account, or payment verification and may temporarily restrict access while investigating suspected misuse or compromise.

Educational purpose and no individualized advice

Caruso Insights provides educational and informational services. The Services do not constitute individualized investment advice.

The Services are designed to help members study growth investing, swing trading, market trends, chart analysis, risk management, relative strength, portfolio discipline, and related financial-market concepts.

Nothing made available through the Services constitutes:

  • Personalized investment, legal, accounting, or tax advice.
  • A personal recommendation to buy, sell, short, hold, or avoid a security.
  • An offer, solicitation, or guarantee relating to an investment.
  • Portfolio-management, brokerage, trade-execution, or fiduciary services.
  • A promise that a strategy, security, or method will produce a particular result.

Information is provided to a general audience without considering your personal objectives, financial position, investment experience, risk tolerance, liquidity requirements, tax circumstances, or other individual needs.

You remain solely responsible for your investment and trading decisions. You should consult appropriately qualified professionals before making financial, legal, tax, or investment decisions.

References to securities, trade examples, portfolio positions, watchlists, entry points, stop levels, exits, targets, or position sizing are educational examples and are not instructions for you to trade.

Investment and trading risk

Trading and investing involve substantial risk. Please always consult with your financial advisor.

Financial markets can be volatile and unpredictable. Prices may move rapidly because of company news, earnings reports, economic conditions, interest rates, liquidity, geopolitical events, government action, or other factors beyond anyone’s control.

Short-term trading, concentrated positions, options, derivatives, margin, leverage, short selling, and trading around earnings may involve risks greater than ordinary long-term investing. Leveraged losses may exceed the amount originally committed.

Past and hypothetical results

Past performance does not guarantee future results. No representation is made that you will achieve profits or losses similar to examples, testimonials, model portfolios, or prior trades presented through the Services.

Hypothetical, modelled, simulated, or back-tested results have limitations. They may benefit from hindsight and may not fully reflect commissions, spreads, taxes, liquidity, slippage, emotional decision-making, position sizing, or changing market conditions.

Changing information

Market information can become outdated quickly. Opinions, watchlists, positions, and strategies may change without every prior statement being updated.

Caruso Insights contributors may hold, buy, or sell securities discussed through the Services. You must independently confirm prices, market data, company information, and transaction details before making a decision.

Membership billing and automatic renewal

Memberships and subscriptions are billed in advance according to the billing period and price presented at checkout. Available billing periods may include monthly, yearly, or another expressly stated period.

By purchasing a recurring membership, you authorize Caruso Insights and its payment processor to charge the payment method on file:

  • On the initial purchase date.
  • On each applicable renewal date.
  • For applicable taxes and disclosed charges.
  • For amounts you expressly authorize or owe under these Terms.

Unless renewal is cancelled before the next payment is processed, your membership will automatically renew for another period at the then-current applicable price.

Failed payments

If a payment fails, we may retry the payment method, request updated billing information, restrict access, suspend the account, or terminate the membership. Valid amounts that became due before cancellation or termination remain payable.

Price changes

Caruso Insights may change membership prices. Unless otherwise stated, a price change will apply to a future renewal rather than a completed paid period. Notice will be provided where required.

Currency and taxes

Prices are charged in the currency presented at checkout. You are responsible for applicable taxes and any currency-conversion, foreign-transaction, card, overdraft, or financial-institution fees.

Monthly membership cancellation

A monthly membership renews each month until future renewal is cancelled.

You may cancel monthly renewal through available account settings or by contacting Caruso Insights. The request must be received before the next payment is processed.

Cancelling a monthly membership:

  • Stops future monthly renewal charges.
  • Does not normally reverse or refund a monthly payment that has already been processed.
  • Generally permits continued access until the end of the current paid billing period.

No early-cancellation adjustment applies to monthly memberships. The two-month early-cancellation adjustment described in Section 07 applies only when a yearly membership is ended before the conclusion of its current annual membership period.

Monthly payments are non-refundable except when an applicable written money-back guarantee, offer-specific refund policy, or mandatory law provides otherwise.

Yearly membership and early cancellation

A yearly membership covers a 12-month membership period beginning on the applicable purchase or renewal date.

This policy applies to Caruso Insights yearly membership services, including PRO Mentorship, EDGE Research, and other yearly membership offers unless different written cancellation terms are expressly provided with the applicable offer.

Turning off automatic renewal

You may turn off automatic renewal before the next annual renewal is processed. When renewal is turned off, your membership will remain active until the end of the current paid yearly period and will not renew for another year.

Turning off future renewal does not create a prorated refund because you retain access for the remainder of the period already purchased.

Yearly membership policy

Early-cancellation refund calculation

If you request to end a yearly membership before the conclusion of its current annual membership period, membership access may end on the effective cancellation date confirmed by Caruso Insights.

Any eligible refund will be calculated using the following formula:

2 MONTHS

Applicable monthly membership rate

The early-cancellation adjustment is based on the regular monthly membership rate for the specific Caruso Insights service associated with the yearly membership being cancelled.

For example, a PRO yearly membership will use the applicable PRO monthly membership rate, while an EDGE yearly membership will use the applicable EDGE monthly membership rate.

Unless different written terms were expressly included with the applicable offer, the monthly rate used for this calculation will be the regular monthly membership price for that service in effect when the applicable yearly membership was purchased or most recently renewed.

Important: Monthly membership rates may differ between PRO Mentorship, EDGE Research, and other Caruso Insights services. The two-month adjustment is therefore calculated using the monthly rate for the specific service being cancelled rather than a fixed dollar amount.

Prorated membership usage

Prorated usage is calculated daily based on the amount actually paid for the applicable yearly membership.

Prorated usage formula:
Yearly membership amount paid Ă· total number of days in the yearly membership period × number of days used through the effective cancellation date.

The effective cancellation date is included as a used membership day when membership access remains available for any part of that day.

Payment-processing fees

The refund calculation may also deduct actual payment-processing, currency-conversion, platform, or related transaction fees from the original payment that are not returned to Caruso Insights when the refund is processed.

Caruso Insights will not deduct an estimated fee where no such fee was incurred or where the applicable fee was returned.

How the calculation works

Because yearly prices, monthly prices, discounts, taxes, and processing fees may differ by service and purchase, the following illustrates the calculation without using a fixed membership price.

Minimum refund

The eligible refund will not be less than zero. If the total permitted deductions equal or exceed the yearly membership amount paid, no refund will be issued.

This calculation will not create a new amount owing solely because an upfront-paid yearly membership is cancelled early. Amounts already overdue for a separate reason remain payable.

Access after early cancellation

Membership access and included benefits may end on the effective early-cancellation date. Depending on the applicable service, this may include access to research, mentorship, communities, recordings, courses, live sessions, tools, indicators, reports, and other member-only Content.

When the formula does not apply

The early-cancellation refund formula does not apply:

  • When you only turn off automatic renewal and retain membership access through the current paid yearly period.
  • When a written money-back guarantee or promotional offer provides more favourable cancellation or refund terms.
  • When Caruso Insights terminates the membership without cause and confirms that different refund terms will apply.
  • To the extent a deduction or calculation is prohibited or limited by applicable law.

Nothing in this section limits a cancellation, reimbursement, consumer, or statutory right that cannot legally be waived. The calculation will be adjusted where applicable law requires a different result.

Refunds and money-back guarantees

Except where an applicable written guarantee, offer-specific refund policy, or mandatory law states otherwise, payments are final after they are processed.

Offer-specific guarantees

Certain Caruso Insights offers may include a money-back guarantee, including a 30-day guarantee. A guarantee applies only when it is expressly displayed on the applicable sales or checkout page at the time of purchase.

The guarantee period, eligibility requirements, exclusions, and request procedure displayed with the offer form part of these Terms.

When a qualifying guarantee applies, a timely guarantee request will take priority over the standard monthly or yearly cancellation calculation for that purchase.

Submitting a refund request

A refund or guarantee request must:

  • Be submitted before the applicable deadline expires.
  • Be sent using the email address associated with the purchase.
  • Identify the membership, product, course, or event involved.
  • Include information reasonably required to locate and verify the transaction.

Refund processing

Approved refunds are normally returned to the original payment method. Posting times are controlled by the payment processor, card network, and the customer's financial institution.

Applicable taxes may be adjusted in accordance with payment-processor and tax requirements.

Courses, digital products, and events

Courses

A course purchase provides access only to the course, materials, access period, and features described in the applicable offer.

A course included as a membership benefit is not automatically a permanent standalone purchase. Access to included courses may end when the membership ends.

“Lifetime access,” when expressly offered, means access for the commercial life of the applicable product or platform, not the lifetime of an individual.

Standalone course refunds

Unless a different written policy is displayed at checkout, a standalone course may be eligible for a refund when:

  • The request is submitted within seven calendar days of purchase.
  • Less than 25% of the course has been completed or consumed.
  • A substantial portion of the course materials has not been downloaded, copied, shared, or distributed.

Digital products

Indicators, templates, reports, recordings, downloads, and other digital products are generally non-refundable after delivery, activation, access, or download unless an applicable guarantee or mandatory law provides otherwise.

Events and conferences

Conferences, workshops, live events, and ticket purchases are governed by the cancellation, transfer, attendance, and refund rules displayed on the applicable registration or checkout page.

Event schedules, speakers, venues, session times, and delivery formats may be reasonably changed. An event may be rescheduled, relocated, delivered online, or replaced with substantially similar programming when necessary.

Live-session recordings

Live sessions may be recorded. If you participate using your voice, camera, screen, username, chat message, or submitted question, your contribution may appear in a recording made available to authorized members or attendees.

Content licence and intellectual property

The Services and Content are owned by or licensed to Caruso Insights and are protected by copyright, trademark, trade-secret, contract, and other intellectual-property laws.

Subject to payment and compliance with these Terms, Caruso Insights grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Content for your own private educational purposes.

This licence does not transfer ownership of the Content or any intellectual-property right.

Prohibited copying and distribution

Unless you receive prior written permission, you must not:

  • Copy, reproduce, republish, upload, transmit, distribute, resell, or publicly display the Content.
  • Share videos, watchlists, research, reports, recordings, course materials, community posts, indicators, or member-only files.
  • Record, screen-capture, photograph, rebroadcast, or redistribute member-only sessions or materials.
  • Remove branding, copyright notices, watermarks, attribution, or access controls.
  • Reverse engineer, decompile, copy, or create derivative products from proprietary software, code, or indicators.
  • Scrape, crawl, systematically download, or use an automated system to collect Content.
  • Use Content or member information to train, fine-tune, evaluate, or supply an artificial-intelligence or machine-learning model without written permission.
  • Present Caruso Insights Content as your own research, course, signals, mentorship, or advisory service.

Unauthorized use may result in immediate account termination, removal requests, preservation of evidence, injunctive relief, recovery of losses and enforcement costs, and other available remedies.

Brand use

You may not use the Caruso Insights name, logo, branding, testimonials, screenshots, or other brand assets in advertising, media, education, or commercial materials without prior written permission.

Community standards and prohibited conduct

Caruso Insights communities are intended for respectful educational discussion. You are responsible for information you post and for your interactions with other members.

You must not:

  • Harass, threaten, bully, stalk, or discriminate against another person.
  • Publish hateful, defamatory, obscene, fraudulent, or unlawfully harmful content.
  • Impersonate another person or misrepresent an affiliation.
  • Publish another person’s private, confidential, or identifying information without authorization.
  • Spam, advertise competing products, recruit clients, or solicit members without written permission.
  • Post malware, malicious links, automated messages, or content that interferes with the platform.
  • Coordinate unlawful market activity or encourage market manipulation.
  • Treat another member’s post as verified or personalized investment advice.

We may moderate, move, edit, restrict, or remove community content and may restrict a member who violates these standards.

Member-generated content reflects the views of individual members. Caruso Insights does not endorse, verify, or guarantee statements made by members.

Third-party platforms and service availability

The Services may use or link to third-party platforms and providers, including Kajabi, Discord, TradingView, Zoom, Wistia, payment processors, social platforms, data providers, and external websites.

Third-party providers control their own services, terms, privacy practices, account requirements, pricing, and availability.

Caruso Insights is not responsible for:

  • Third-party downtime or technical failures.
  • Changes to third-party features, pricing, or policies.
  • External content, advertisements, products, or transactions.
  • Losses caused by your third-party account, device, internet connection, or security settings.

Availability and changes

We aim to provide reliable access but do not guarantee that every Service will be uninterrupted, error-free, secure, or continuously available.

Access may be affected by maintenance, platform outages, internet failures, cyber incidents, payment issues, emergencies, data-feed errors, software updates, or events beyond our reasonable control.

We may reasonably update, replace, reorganize, archive, or discontinue Content and features. Where appropriate, we may provide a substantially similar replacement or delivery method.

Suspension and termination

Caruso Insights may suspend, restrict, or terminate access where it reasonably believes that a member has:

  • Failed to pay a valid amount when due.
  • Shared an account or redistributed protected Content.
  • Engaged in fraud, abuse, harassment, or unlawful activity.
  • Created a security, legal, operational, or reputational risk.
  • Violated these Terms or applicable community rules.
  • Attempted to interfere with, exploit, or damage the Services.

Where appropriate, we may provide notice and an opportunity to correct a violation. Serious, unlawful, fraudulent, or repeated violations may result in immediate termination.

Termination for a violation does not create a right to a refund. Valid amounts that became due before termination remain payable.

Provisions relating to payment obligations, risk, educational disclaimers, intellectual property, prohibited distribution, liability, indemnification, and dispute resolution survive termination where applicable.

Disclaimers, liability, and indemnification

Service disclaimer

To the maximum extent permitted by law, the Services and Content are provided on an “as is” and “as available” basis.

Caruso Insights disclaims warranties and representations, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and results.

We do not warrant that:

  • The Services will meet every expectation or requirement.
  • The Services will always be uninterrupted or error-free.
  • Every error or defect will be corrected.
  • Market data or third-party information will always be accurate.
  • The Services will produce profits, prevent losses, or improve investment performance.

Limitation of liability

To the maximum extent permitted by law, Caruso Insights and its directors, officers, employees, contractors, instructors, contributors, affiliates, licensors, and service providers will not be liable for:

  • Trading or investment losses.
  • Lost profits, revenue, data, opportunities, or goodwill.
  • Indirect, incidental, special, exemplary, punitive, or consequential damages.
  • Losses caused by reliance on educational information, third-party data, or member posts.
  • Third-party outages, account compromise, payment failures, or platform changes.
  • A decision to buy, sell, hold, size, hedge, or avoid an investment.

To the maximum extent permitted by law, the total aggregate liability of Caruso Insights arising from the applicable Service will not exceed the greater of:

  • The amount you paid directly to Caruso Insights for the specific Service giving rise to the claim during the six months before the event giving rise to the claim; or
  • CAD $100.

Some jurisdictions do not permit certain exclusions or limitations. In that case, each exclusion or limitation applies only to the maximum extent permitted.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Caruso Insights and its directors, officers, employees, contractors, instructors, contributors, affiliates, and service providers from third-party claims, liabilities, losses, damages, and reasonable costs arising from:

  • Your unlawful or unauthorized use of the Services.
  • Your violation of these Terms.
  • Your infringement of another person’s rights.
  • Information or content you submit or distribute.
  • Your conduct in a member community.
  • Your unauthorized redistribution of protected Content.

Nothing in these Terms excludes a consumer protection, warranty, condition, remedy, or liability that cannot legally be excluded.

Privacy and electronic communications

Caruso Insights’ collection, use, storage, and disclosure of personal information are described in the applicable Privacy Policy .

By creating an account or purchasing a Service, you agree to receive transactional communications relating to:

  • Your account and purchase.
  • Billing and payment processing.
  • Security and account access.
  • Session schedules and event information.
  • Important service or policy changes.

Promotional communications are governed by applicable consent and unsubscribe requirements. You may unsubscribe from promotional email through the link provided in the message.

Unsubscribing from marketing does not prevent essential transactional or account-related communications while your membership, registration, purchase, or account remains active.

Governing law, changes, and contact

Governing law

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable in Québec, without regard to conflict-of-law principles.

Before beginning formal proceedings, you agree to make a reasonable effort to resolve the concern by contacting Caruso Insights with:

  • Your name and account email.
  • A clear description of the concern.
  • The resolution you are requesting.
  • Relevant transaction or communication records.

Subject to mandatory consumer rights concerning jurisdiction, venue, or procedure, legal proceedings relating to these Terms will be brought before a court of competent jurisdiction in Québec.

Entire agreement

These Terms, the Privacy Policy, and applicable written offer-specific terms constitute the entire agreement concerning the Services and replace prior discussions or statements concerning the same subject.

Order of priority

If documents conflict, a written offer-specific term controls for that purchase, followed by these Terms and then general Website statements. Mandatory law always takes priority.

Severability

If a provision is found invalid or unenforceable, it will be limited or interpreted to the minimum extent necessary. The remaining provisions will continue in effect.

No waiver

A failure or delay in enforcing a provision is not a waiver of that provision or a later violation.

Assignment

You may not assign or transfer this agreement without prior written permission. Caruso Insights may assign it as part of a merger, financing, reorganization, sale of assets, or transfer of the Services, subject to applicable law.

Events beyond reasonable control

Neither party is responsible for delay or failure caused by events beyond reasonable control, including severe weather, natural disasters, war, civil unrest, labour disruptions, internet failures, cyber incidents, epidemics, government action, or failure of a critical third-party platform.

Changes to these Terms

Caruso Insights may update these Terms to reflect changes to the Services, business practices, technology, payment arrangements, legal requirements, or risk-management practices.

The updated version will be posted on this page with a revised effective date. Additional notice of a material change will be provided where required.

A change will not retroactively remove a completed-purchase right that cannot lawfully be changed.
